Creator agreement

1. What this covers. This agreement applies between you and ByRequest LLC, a limited liability company under the laws of Delaware, United States ("ByRequest"), when you use ByRequest to make content for buyers. It forms one whole with our Terms of use and Privacy statement. For creator matters, this agreement prevails.

2. Your status. You work independently. You are not an employee, agent or partner of ByRequest. You decide whether, when and what you make. There are no targets and no exclusivity: you may also work elsewhere.

3. Who can be a creator. You are 18 or older, legally able to contract, and you verify your identity and age with our verification provider before your first offer. You keep your details correct and we may ask you to verify again. One account per person. You may get help from someone to run your account, but you stay responsible for everything that happens on it and you never share your login codes.

4. How a deal works. A buyer posts a request with a budget. Your offer (face or not, vault period, delivery time, note) is a binding proposal. When the buyer accepts and pays, a deal exists. You deliver within the time you offered. Towards the buyer, ByRequest is the seller of the service, also for VAT. You supply the content to ByRequest for that sale.

5. Permitted content and conduct. You deliver only content that is legal where you live and in the buyer's country, and that follows our Terms and the rules of our payment partners. Prohibited: anything involving minors or anyone presented as a minor, anyone who has not consented, non consensual or illegal acts, real or simulated violence, incest, bestiality, intoxication, and images of real people made or altered with AI or other tools without their consent. Everything stays on ByRequest: no contact details, no payments or chats outside it, no meetings in person.

6. Everyone who appears. You appear in the content yourself as verified. Any other person who appears must be verified as an adult through ByRequest and consent to being shown and to this specific delivery before it is made available. Your statement does not replace their verification and consent. You only upload content you made yourself.

7. Your rights and the licences. You keep ownership of your content. For each deal you grant the buyer a personal, non transferable, non commercial licence to view the delivery in their private ByRequest vault for the vault period of your offer. You grant ByRequest only the rights needed to store, review, watermark and show the content to that buyer, and to keep it as evidence for disputes and legal obligations for as long as needed. ByRequest does not use your content for promotion without your separate consent.

8. Your guarantees. You guarantee that the content is your own work or that you hold all rights needed, including for music, images and places, that it is legal, that everyone who appears consented, and that the details you give us are true.

9. Money. You earn 80% of the deal value. The buyer pays a separate service fee and VAT on top; ByRequest keeps 20% of the deal value as its platform fee. You see the amount before you make an offer. The payment partner collects the payment when the deal starts. Your earnings become payable after the delivery has passed review and the 24 hour objection window, or earlier when the buyer releases them. Each payout goes out right after the deal is released, to the payout account you verified with the payment partner, in euro. ByRequest charges you no other fees.

10. Refunds, objections and chargebacks. If you do not deliver in time, or an objection is upheld because the delivery does not match your offer, the buyer is refunded and there are no earnings for that deal. If a bank later reverses a payment because your delivery broke this agreement, we may set that amount off against your future earnings. Other chargebacks are at ByRequest's risk, not yours.

11. Holding earnings. We only hold earnings when there is a reasonable suspicion of fraud, financial crime or illegal content, when a court order or the law requires it (also to pay a third party entitled by law), or while we investigate a report about your content. We hold them no longer than needed and at most 90 days unless the law requires longer, and we tell you why.

12. Taxes and VAT. You are responsible for your own income tax and social security. ByRequest charges the buyer VAT and pays it to the right country. Whether your supply to ByRequest carries VAT depends on your own VAT status; you give us correct details. EU rules (DAC7) require ByRequest to report your details and earnings once a year to the tax authority. Payouts wait until you have given your tax details.

13. Review and moderation. Every delivery passes an automatic file check and a content review before it is made available. A technical pass is not a content approval. We may refuse or remove content that breaks these rules and report illegal content to the authorities.

14. Restriction, suspension and closure. We may restrict, suspend or close your account for a breach of this agreement or the Terms, for illegal content, to protect someone's safety, or when the law requires it. You receive the reasons in writing, before or at the moment the measure takes effect. Before closing your whole account we give 30 days notice, unless the law requires otherwise, or for a serious or repeated breach, illegal content or a risk to safety. You can always reply and appeal.

15. Complaints and appeals. You can complain or appeal free of charge in the app. A person who did not take the first decision reviews it and you get a reasoned answer. You can also turn to one of the independent mediators we name for this, Pieter Santy and David Devree, to a certified out of court dispute settlement body, or to court. Mediation is voluntary and we pay a reasonable share of its cost.

16. Ending the agreement. You can close your account at any time. Open deals are delivered or refunded. Earnings from completed deals are paid out, minus lawful set offs. Licences already granted for completed deals stay valid for their agreed period.

17. Privacy and confidentiality. We handle your data as set out in the Privacy statement. Your legal name and ID are never shown on your profile. You do not try to find out who a buyer is and you never share anything from a chat outside ByRequest.

18. Limits of copy protection. Download and forwarding are disabled and each view carries a visible and an invisible watermark. This lowers the risk and helps trace leaks, but cannot prevent copying with another device. We act on leaks we find and help with takedown requests, but cannot guarantee removal.

19. Liability. ByRequest is liable for intent, gross negligence and wherever the law does not allow a limit. Otherwise our liability is limited to the platform fees we earned from your deals in the 12 months before the event. You are responsible for your content and hold ByRequest harmless from claims of third parties caused by your breach of this agreement.

20. Changes. We announce changes at least 15 days in advance. You may close your account before they apply. Material changes need your renewed acceptance.

21. Law and courts. The law of the State of Delaware applies to this agreement. This does not take away the protection that the mandatory law of the country where you live gives you, and you can always go to the courts there. For disputes about our decisions you can also use the complaint, appeal and mediation routes in article 15. This agreement is available in Dutch, French and English; the version you accepted is recorded with its date and fingerprint.

22. Other. If a clause is invalid, the rest stays valid. ByRequest may transfer this agreement to a company that continues the service, with notice to you.
